The U.S. Securities group is part of our market leading finance and capital markets group and is an integral part of the team. Associates will work with lawyers in the U.S. Securities group and partners and lawyers in the finance, private equity and capital markets groups throughout the EMEA region, advising issuers, investment banks and others on a full range of finance and capital markets transactions but with a specific focus on high yield transactions. The group provides a broad range of U.S. securities advice for non-U.S. capital markets and other corporate transactions, Rule 144A transactions and registered SEC offerings, including high yield offerings and IPOs.

We offer a competitive base salary plus a London Market Allowance and a discretionary merit bonus. Key Responsibilities

Lawyers will have the following key responsibilities:

Drafting, reviewing and negotiating primary and ancillary high yield documentation including indentures, intercreditor agreements and related documents;
Drafting and negotiating high yield covenants and understanding financial terms.
Providing client guidance on all aspects of a high yield transaction.
Knowledge of the variety of structures used on high yield offerings.
Exposure to the specific requirements of private equity bidders.

Key Requirements

You should have experience of the US Securities Act of 1933, the US Securities Exchange Act of 1934 and the US Investment Company Act of 1940.
