Purpose of role Our Capital Markets team deals with a broad range of UK and international equity and debt capital markets work, including IPOs, follow-on offerings, equity linked offerings, eurobond issuances, and ADR and GDR faciltiies. The team's clients are primarily investment banks, financial advisors, banks and corporates, and transactions range from mid-market domestic deals to complex cross-border financings and restructurings, focused on EMEA emerging markets. The team is looking for an associate with at least 2 years' post-qualification experience to support international capital markets transactions. Ideally the candidate will have significant experience within the capital markets team of an international law firm, working for underwriters and issuers in connection with equity and debt offerings, and have familiarity with disclosure, due diligence, and advising on US securities laws. You will maintain client relationships, contribute to business development and thought leadership, raising your own profile and supporting the continued growth of the capital markets practice. The role would be ideal for a 2 to 4 year pqe lawyer. Responsibilities You will take a lead role on a variety of transactions across a range of sectors Build and maintain client relationships Contribute to business development Coach and mentor more junior members of the team Coordinate and cooperate with colleagues in other practice groups and offices Contribute to thought leadership and raise the profile of the firm externally Required experience, skills and attributes Technical Skills Strong academic record, including a JD or US LLM degree or equivalent Admission in New York State or another US jurisdiction Experience with high-profile Rule 144A equity and debt offerings Capital markets experience and legal expertise gained within a top-tier firm including: Acting for underwriters on international capital markets transactions and with a strong understanding oftheir key concerns Drafting and negotiating standard transaction documents, including underwriting documentation, legal opinions and comfort letters Acting for issuers and with strong disclosure drafting skills across a range of industry sectors and markets (including, in particular, emerging market issuers) Managing and coordinating capital markets due diligence Flexibility across a range of equity and debt transaction structures and offerings Experience of a range of different transaction structures, including stand-alone bonds, medium term note programmes, liability management transactions, IPOs, follow-on offerings and capital markets aspects of M&A transactions You will ideally have experience of working with international clients in the corporate sector You will ideally have experience of preparing and participating in pitches to clients Ability to work independently Exceptional drafting skills Personal attributes Is dedicated to exceptional client service Excellent business development ability and demonstrates market focus Strong financial and business awareness Excellent problem solving and decision making skills Exceptional interpersonal and communication skills Demonstrates good judgment and resilience skills Shows strong initiative and drive and takes control of own career development The salary for this role is competitive.
